Acceptance of Terms
- By accessing our website or engaging our services, you agree to comply with these Terms & Conditions and all applicable laws and regulations.
- We may update these terms from time to time; continued use of our services after an update means you accept the revised terms.
Services Provided
- We provide custom software, web, mobile app, and AI automation development services, along with related consulting and support, as agreed in your specific project proposal or contract.
- The exact scope, deliverables, and timeline for your project are defined in that proposal or contract, which takes precedence over general descriptions on our website.
Client Responsibilities
- You agree to provide accurate project requirements, timely feedback, and any content, credentials, or approvals needed for us to deliver your project on schedule.
- Delays caused by missing information, late feedback, or late approvals on your part may affect the agreed delivery timeline.
Payment & Billing
- Payment terms, milestones, and due dates are set out in your project proposal or invoice.
- Unless otherwise agreed in writing, invoices are due within 7 days of issuance, and continued work may be paused if payment is significantly overdue.
Project Timelines & Delivery
- Timelines shared during planning are estimates based on the agreed scope, and may shift if the scope changes or client feedback is delayed.
- Final deliverables and source code/handover materials are shared once full payment for the relevant milestone has been received.
Intellectual Property
- Once full payment for a project has been received, ownership of the custom code and deliverables created specifically for you transfers to you, unless otherwise agreed.
- Pre-existing tools, frameworks, libraries, and any general-purpose components we reuse across projects remain our property or that of their original licensors, and are licensed to you for use within your project.
- We may reference completed projects in our portfolio for promotional purposes unless you request otherwise in writing, in which case we will respect confidential or NDA-covered details.
Confidentiality
- Confidential information shared during a project is protected under our Confidentiality Policy, which forms part of these terms.
Warranties & Disclaimers
- We warrant that our deliverables will materially conform to the agreed project specification, and we will fix material defects reported within the agreed post-launch support window at no extra cost.
- Beyond that specific warranty, our services and deliverables are provided on an "as is" basis, and we do not guarantee uninterrupted or error-free operation of any software, given the nature of software development.
Limitation of Liability
- To the maximum extent permitted by law, our total liability for any claim arising from a project is limited to the amount you paid us for that specific project.
- We are not liable for indirect, incidental, or consequential damages, including loss of profits or data, arising from the use of deliverables we provide.
Termination
- Either party may terminate an active engagement with written notice, subject to the cancellation and refund terms in our Refund & Cancellation Policy.
- Any outstanding dues for work already completed must be settled as part of termination.
Governing Law & Disputes
- These terms are governed by the laws of India, and any disputes will first be addressed through good-faith discussion between both parties before pursuing formal legal action.
